Terms of Service

These Terms of Service (the “Agreement”) govern how you may access and use the services provided by Youragent24.com, Inc. (“Youragent24”). By (a) purchasing access to the Service through an online process referencing this Agreement, (b) signing up for a free or paid plan via a platform referencing this Agreement, or (c) clicking a button or box signifying acceptance, you confirm that you have read and understood these terms, and that you consent to be bound by them. The person agreeing to this Agreement does so on behalf of a business or other legal entity (“Customer”) and guarantees they have the power to legally bind that entity, along with its affiliates. If you do not have such authority or if you do not agree with these terms, you must not accept this Agreement and may not use the services. Capitalized terms have the meanings provided here.


1. The Service

1.1 Service Description

Youragent24 develops and operates a cloud-based artificial intelligence platform (“Service”) that offers chatbots for various purposes, including customer support, sales, and user engagement. Any configurations, custom code, content, or other materials that the Customer (including any of its authorized users) provides through the Service are referred to as “User Submissions.” The Customer alone is responsible for these User Submissions. Section 8.2 of this Agreement contains further provisions about User Submissions, including their ownership. The Service may be accompanied by templates, scripts, documentation, or additional resources intended to support the Customer in utilizing the Service (“Youragent24 Content”). Neither the Customer nor its users will receive a copy of, or direct access to, the source code or underlying software of the Service (collectively known as the “Software”).

1.2 Customer’s Subscription

In accordance with this Agreement, the Customer may acquire a subscription granting rights to use and access the Service for a time frame specified in one or more ordering interfaces, portals, or screens offered by Youragent24 that reference this Agreement (“Order(s)”). Each Order sets out the commercial terms relating to the Customer’s subscription, such as the time period the Customer may use the Service (“Subscription Period”). Only authorized individuals within the Customer’s organization (“Users”) are allowed to utilize the Service, and solely for the Customer’s internal business operations—not to benefit any external entity or third party.

1.3 Youragent24’s Ownership

Youragent24 retains full ownership, title, and all rights (including intellectual property rights) over the Service, the Software, Youragent24 Content, all related documentation, and any other materials provided by Youragent24 (together, “Youragent24 Materials”). Youragent24 also owns the underlying technology, improvements, modifications, bug fixes, and derivatives of these materials. No implied licenses are granted, and all rights not explicitly provided in this Agreement remain with Youragent24.

1.4 Permissions

The Service has configurable permission features, allowing certain Users to grant varying levels of access or privileges to other Users (“Permissions”). The Customer is fully accountable for implementing, reviewing, and overseeing these Permissions, including deciding who can manage them. Youragent24 accepts no responsibility for the Customer’s Permissions setup or any consequences resulting from how the Customer or its Users arrange them. Where the Customer permits its Affiliates to use the Service, all rights and duties outlined in this Agreement will also apply to those Affiliates. The Customer agrees it remains responsible for ensuring its Affiliates comply with these terms and confirms it can legally act on their behalf. Any legal claims by an Affiliate must be filed by the Customer rather than the Affiliate itself. Within this Agreement, an “Affiliate” is any entity controlling, controlled by, or under joint control with a party, where “control” means holding more than half of the voting shares or comparable equity interests.


2. Restrictions

2.1 Customer’s Responsibilities

The Customer is accountable for all actions taken under its account, including those carried out by its Users, unless these actions arise from unauthorized access stemming from vulnerabilities in the Service. The Customer must ensure its Users are informed of, and adhere to, the obligations and restrictions in this Agreement. Any breach of this Agreement by a User is the Customer’s responsibility.

2.2 Use Restrictions

The Customer agrees that neither it nor its Users, nor any external party acting under its direction, shall directly or indirectly:

If the Customer’s usage poses a significant risk to the security or stability of the Service, Youragent24 may suspend access, making a reasonable effort to alert the Customer and collaborate on resolving the issue promptly.

2.3 API Access Restrictions

Youragent24 may offer application programming interfaces (APIs) as part of the Service. Youragent24 reserves the right to set or enforce limitations on API usage. The Customer undertakes to follow those constraints. Youragent24 may suspend or end API access at its sole discretion.


3. Third-Party Services

The Service might connect or integrate with products, services, or applications provided by third parties that Youragent24 neither owns nor controls (“Third-Party Services”). The Customer decides if it wants to use these Third-Party Services alongside the Service. If using them requires disclosing login credentials for any Third-Party Service, the Customer ensures it has the right to share such credentials with Youragent24 so Youragent24 can facilitate the functionality. Youragent24 does not endorse or take responsibility for any Third-Party Services. This Agreement does not govern interactions with Third-Party Services, and the Customer may have to enter into separate contracts with their respective providers. Youragent24 makes no guarantees or representations about these Third-Party Services, and the Customer must resolve any related disputes directly with those third-party providers. Youragent24 will not be held liable for technical or performance issues arising from Third-Party Services.


4. Financial Terms

4.1 Fees

The Customer agrees to pay the relevant fees (“Fees”) detailed in each applicable Order to use and access the Service. Unless stated otherwise in the Order, these Fees are in U.S. dollars. Payment obligations cannot be canceled, and except as explicitly stated in this Agreement, Fees are non-refundable. Youragent24 maintains the right to modify or introduce new fees, as long as the Customer can opt out of renewing if it opposes such changes.

4.2 Payment

Youragent24 or an appointed third-party payment processor (“Payment Processor”), such as Stripe, will charge the Customer based on the billing information (e.g., a credit card or ACH details) supplied by the Customer. The Customer must keep its billing information current and accurate to avoid interruptions to the Service. If the Customer pays via Stripe, it may also be subject to Stripe’s terms of service. Youragent24 disclaims liability for Payment Processor errors but retains the right to correct any mistakes as they arise.

By placing an Order, the Customer consents to recurring charges to its designated payment method until the Customer cancels or updates its payment details. If a Stripe Customer Portal is provided, the Customer may manage its subscription directly in Stripe, including updating payment details, viewing invoices, or canceling renewals.

4.3 Taxes

The stated Fees exclude any taxes or similar costs (“Taxes”). The Customer is responsible for all applicable Taxes associated with its purchase of the Service. Where Youragent24 is legally required to collect Taxes, it will invoice the Customer accordingly, unless the Customer submits a valid tax exemption certificate in advance. Youragent24 is only responsible for taxes tied to its personal income, property, and employees.

4.4 Failure to Pay

If the Customer does not settle any fees on time, Youragent24 may temporarily suspend the Customer’s access to the Service until the overdue amount is paid in full. Youragent24 can attempt multiple charges to the provided payment method. In the event the Customer disputes a billing charge, it must contact Youragent24 within sixty (60) days of the original invoice date. Youragent24 will review the dispute and issue a written decision, accompanied by supporting details. Should Youragent24 determine the charges are valid, the Customer must pay them within ten (10) days following the decision.

4.5 Lifetime Deal

Occasionally, Youragent24 may present a “Lifetime Deal,” allowing Customers a one-time purchase option instead of repeated subscription payments. This “Lifetime Deal” can be capped at 1,000 or 2,000 accounts (as specified in the promotion). After that cap is reached, the deal may be unavailable. If a Customer subsequently chooses a paid subscription, the Lifetime Deal terms no longer apply, and the subscription terms take precedence. Any future billing, extensions, or functionalities follow the newly subscribed plan.


5. Term and Termination

5.1 Agreement Term and Renewals

A subscription to Youragent24’s Service starts on the date listed in the Order (“Subscription Start Date”) and lasts for the agreed Subscription Period. Customers can decide not to renew by emailing support@youragent24.com and receiving confirmation, or by adjusting their account settings (or using the Stripe Customer Portal if available). This Agreement remains valid from the Subscription Start Date through the Subscription Period and any renewals, or while the Customer uses the Service without a paid Order (“Term”). If this Agreement is ended by either side, all corresponding Orders end as well. Where a Customer cancels a paid subscription, it may be downgraded to a restricted-feature “Free Version.” If the Agreement is terminated outright (e.g., the Customer deletes its workspace), the Free Version access ends too.

5.2 Termination

Either side may terminate this Agreement through written notice if the other side is in material breach and has not addressed that breach within thirty (30) days. Youragent24 can end a Customer’s Free Version access at any time with prior notice.

5.3 Effect of Termination

If the Customer terminates because Youragent24 failed to resolve a material breach, Youragent24 will repay any unused, prepaid fees for the remaining Subscription Period. If Youragent24 terminates due to the Customer’s uncured breach, the Customer must pay all outstanding Fees for the current Subscription Period. Ending this Agreement does not excuse the Customer from paying amounts that accrued up to the end date. Upon termination, the Customer instantly loses rights to use the Service. Within thirty (30) days post-termination—or when the Customer asks—Youragent24 will remove the Customer’s User Information (including credentials, data, or files), unless the Customer is on the Free Version, in which case some data may be retained to facilitate reactivation. If an account is left idle for more than one (1) year, Youragent24 may erase any related data.

5.4 Survival

Any provisions concerning intellectual property, confidentiality, data, disclaimers, liability limitations, payment responsibilities, and general clauses will continue to be enforceable even after this Agreement ends or expires.


6. Warranties and Disclaimers

6.1 Warranties

The Customer guarantees that all User Submissions comply with the laws, rules, and regulations that apply to them.

6.2 Warranty Disclaimer

Unless explicitly stated here, the Service and its related elements are provided “as is” and “as available,” with no warranties of any kind. To the extent allowed by law, Youragent24 rejects all implied warranties, such as those of merchantability, suitability for a particular purpose, or non-infringement. Youragent24 does not promise that the Service will function without interruption, on time, safely, or error-free. In some regions, limits on certain warranties are not allowed, so parts of this disclaimer might not apply in those locations.


7. Limitation of Liability

As far as the law permits, Youragent24 shall not be held accountable for any indirect, special, incidental, or consequential damages, nor for losses involving profits, business opportunities, or data integrity, regardless of legal rationale. In any event, Youragent24’s overall liability relating to this Agreement shall not exceed the total Fees the Customer has paid (or owes) for the Service within the last twelve (12) months leading up to the claim. These restrictions apply even if Youragent24 has been made aware of possible damages.


8. Confidentiality

8.1 Definition

“Confidential Information” covers any business, technical, or financial data shared by one party (“Disclosing Party”) with the other party (“Receiving Party”) under conditions that imply it should remain private. For Youragent24, this can include proprietary details about the Service’s features, performance, or functionality. For the Customer, it consists of User Submissions and User Information. Confidential Information does not include data that: (a) becomes publicly available without any breach of obligation, (b) the Receiving Party already knew without any breach, (c) is acquired from a third party without any breach, or (d) was independently produced without referencing the Disclosing Party’s Confidential Information.

8.2 Protection and Use of Confidential Information

The Receiving Party is obligated to (a) safeguard the Disclosing Party’s Confidential Information at least as securely as it protects its own, and with no less than reasonable care; (b) grant access exclusively to individuals who require it to fulfill duties under this Agreement and who are bound by similar confidentiality obligations; (c) not disclose Confidential Information to unauthorized outsiders without the Disclosing Party’s written consent; and (d) use Confidential Information only as needed to fulfill this Agreement. Neither party is restricted from divulging the terms of this Agreement to potential investors or buyers, provided those parties are similarly bound by confidentiality.

8.3 Compelled Access or Disclosure

If required by law or legal process, the Receiving Party may reveal the Disclosing Party’s Confidential Information, on the condition that it promptly notifies the Disclosing Party (if legally allowed) and helps the Disclosing Party, at the Disclosing Party’s expense, challenge or limit the disclosure.

8.4 Feedback

The Customer may provide Youragent24 with observations, ideas, or suggestions (“Feedback”). Youragent24 may incorporate this Feedback in its offerings. The Customer grants Youragent24 a perpetual, worldwide, irrevocable, royalty-free license to utilize or distribute such Feedback in any manner, without attributing it to the Customer unless specifically agreed.


9. Data

9.1 User Information

The Customer and its Users might need to submit data (like names, emails, IP addresses) to use or access the Service (“User Information”). The Customer authorizes Youragent24 to store, process, and retrieve this data as part of delivering the Service. It is the Customer’s duty to ensure it holds all necessary permissions for providing such User Information to Youragent24. The Customer remains responsible for security risks that stem from its own mismanagement of account credentials.

9.2 User Submissions

By sharing content through the Service, the Customer grants Youragent24 a global, non-exclusive, royalty-free, and transferable license to use and display the User Submissions solely for the purpose of delivering and improving the Service. Beyond the scope of this license, the Customer retains all ownership of User Submissions.

9.3 Service Data

Youragent24 gathers certain information regarding the performance and functionality of the Service (“Service Data”). If this information is aggregated and anonymized such that individuals are not identifiable, Youragent24 may use it without constraints. Youragent24 owns all rights in Service Data.

9.4 Data Protection

Youragent24 implements sensible security protocols to safeguard Customer data, including User Submissions and User Information. Nevertheless, the Customer is responsible for maintaining the security of its internal systems. Youragent24 processes data according to its Data Processing Agreement, which can be found at https://youragent24.com/legal-notice.


10. General Terms

10.1 Publicity

Should the Customer give written consent, Youragent24 may mention the Customer by name and feature the Customer’s logos or trademarks on Youragent24’s website or in marketing collateral. This is for showcasing Youragent24’s clientele without revealing sensitive or confidential information about the Customer.

10.2 Force Majeure

Youragent24 is not liable for delays or inability to meet its obligations here if such failure is caused by events beyond its reasonable control, including external service outages, labor strikes (excluding those by its own employees), natural catastrophes, warfare, terrorism, or interventions by government bodies.

10.3 Changes

Because Youragent24 provides a continuously evolving, subscription-based service, it may enhance or alter the Service’s features. Youragent24 commits not to significantly diminish the principal features during the Customer’s current subscription. Youragent24 may also update this Agreement, with a minimum of thirty (30) days’ notice before such changes take effect, posted on Youragent24’s website or another readily visible location.

10.4 Relationship of the Parties

The parties outlined in this Agreement act as independent contractors. No form of partnership, agency, fiduciary duty, or employment arrangement is established by this Agreement. Neither party may legally bind or make commitments on behalf of the other.

10.5 No Third-Party Beneficiaries

This Agreement is between Youragent24 and the Customer alone. It grants no rights or remedies to outside parties nor does it impose any duties on the parties toward others.

10.6 Email Communications

Official notices under this Agreement can be sent via email or through the Service’s interface. Notifications to Youragent24 should be directed to an address designated by Youragent24, while notifications to the Customer will be sent to the email address registered by the Customer. Such communications are deemed received the next business day after the email is sent or on the same day if posted within the Service.

10.7 Amendment and Waivers

Any amendment or modification to this Agreement will only be valid if agreed upon in writing or via an electronic acceptance process by properly authorized representatives of both parties. Delays or failures in exercising a right under this Agreement do not waive that right. Any waiver must be documented in writing and signed by the party granting it.

10.8 Severability

If any term of this Agreement is found invalid or unenforceable by a court with appropriate jurisdiction, it will be revised only to the extent necessary for validity, and all other terms shall stay fully effective.

10.9 Assignment

Neither party may transfer or delegate its rights or obligations under this Agreement without prior written permission from the other, except that Youragent24 may do so as part of a merger, acquisition, corporate restructuring, or asset sale. Any unauthorized assignment is null and void. This Agreement is binding on and benefits both parties and their lawful successors or permitted assigns.

10.10 Governing Law and Venue

This Agreement is governed by the laws of Portugal (without regard to its conflict of laws rules). Any disputes arising out of or relating to this Agreement shall be brought before the competent courts of Portugal, and both parties hereby consent to such venue. In the event of a dispute, the prevailing party shall be entitled to recover its reasonable costs and attorney fees.

10.11 Entire Agreement

This Agreement, along with any referenced or attached documents and any Orders, comprises the complete accord between Youragent24 and the Customer and supersedes all prior or simultaneous discussions, agreements, and understandings (whether oral or written) concerning its subject matter.
